1. Acceptance of Terms

By purchasing or using Tovrio ("the Product", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not purchase or use the Product.

Geographic restriction: The Product is not available for use by residents of Quebec, Canada. By purchasing, you confirm that you are not a Quebec resident.

2. Description of Service

Tovrio is a digital product: a GitHub private repository invite to the discovery + validation engine, a country-aware idea-validation and US-market opportunity-discovery toolkit that runs inside your own AI coding tool (Claude Code, Cursor, Codex, Antigravity, Windsurf, Copilot), together with its country-specific KILL rulebook. The Product is delivered electronically after payment confirmation.

3. License Grant

Upon successful purchase, Tovrio grants you a perpetual, worldwide, non-exclusive, non-transferable license to use the Product for your own software validation and development projects. You may not:

  • Resell, redistribute, sublicense, or share the Product, the repository, or its contents with third parties.
  • Publish the scrapers, framework, or commands as standalone content under your own brand.
  • Use the Product to train a machine learning model or compile a competing toolkit.

4. Payment & Pricing

Tovrio is sold as a one-time payment. Early-adopter pricing is $29 USD for the first 50 customers; pricing then rises to $49, then $99 USD. The transaction is processed by Paddle.com Market Limited ("Paddle") acting as the Merchant of Record. Paddle is responsible for collecting payment, remitting applicable taxes, and providing receipts. Local taxes (VAT, GST, sales tax) may be added at checkout depending on your jurisdiction.

6. Intellectual Property

All content within the Product, including code, framework structure, documentation, and design, remains the intellectual property of Tovrio. Output you create by applying the toolkit in your own projects (e.g., validation reports, CSV exports, decisions) belongs to you.

7. Disclaimer of Warranties

The Product is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. Tovrio does not warrant that the Product will meet your specific requirements or produce particular outcomes when used for idea validation or product decisions.

8. Limitation of Liability

To the maximum extent permitted by law, Tovrio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Product. Total aggregate liability shall not exceed the amount you paid for the Product.

9. Termination

We may revoke your repository access if you materially breach these Terms (for example, by redistributing the content). Termination for breach does not entitle you to a refund.

10. Governing Law

These Terms are governed by the laws of the Republic of Korea. Any disputes arising from or relating to these Terms shall be resolved in the courts of Seoul, Republic of Korea.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email to active customers. Continued use of the Product after changes constitutes acceptance.
